Terms of Service

Last updated October 22, 2026

These terms cover your use of logram.io, the Logram client portal, and the services Logram LLC ("Logram", "we", "us") provides to you ("you"). Sections 1 and 7 apply to everything we do. Sections 2 to 6 apply only to the services you use. By using our website, portal, or services, you agree to these terms. If you have a signed agreement or an accepted quote with us that says something different, the signed agreement or quote wins.

  1. 1. General terms
  2. 2. Website plan
  3. 3. Business email and domains
  4. 4. IT services
  5. 5. Managed IT
  6. 6. AI workflow automation
  7. 7. Liability, law, and changes

1. General terms

1.1 Your account

You sign in to the client portal with a code sent to your email address, so keep that mailbox secure. You are responsible for what is done through your account and for the people you invite to it.

1.2 Access you give us

  1. (a)
To provide the services, we may need access to your accounts, systems, and equipment, such as your Google Business Profile, domain, email, network, or computers.
  2. (b)
When you connect an account or add us as a manager or administrator, you authorize us to use that access to do the work you asked for, such as replying to reviews, publishing posts, or changing settings.
  3. (c)
You confirm you have the right to give that access, and you can withdraw it at any time.

1.3 Your content

The text, photos, files, and data you give us remain yours. You give us permission to use them to provide the services, and you confirm you have the right to use them.

1.4 Quotes, invoices, and payment

  1. (a)
Our current prices are published on logram.io. Work that is not priced there, or that is larger than usual, is quoted before we start, and we confirm the price with you first.
  2. (b)
A quote covers the work it describes. Anything outside it is quoted separately or billed at our hourly rate, with your approval.
  3. (c)
Website subscriptions are billed in advance through Stripe. Managed IT is billed under Section 5.2. Other work is invoiced, and each invoice is due by the date shown on it.
  4. (d)
If a payment fails or an invoice goes unpaid after we tell you, we may pause the services until it is paid.

1.5 Acceptable use

Do not use the services to break the law, infringe someone else's rights, send spam, or interfere with the services or other clients. We may suspend services used this way.

1.6 Healthcare

We do not provide IT services, including Managed IT, to medical, dental, therapy, or other healthcare offices that handle patient records, and we do not sign business associate agreements.

1.7 Third-party services

Some services run on other companies' products, such as Google, Microsoft, Ubiquiti, Stripe, and AI providers. Those products are governed by their own terms, and we are not responsible for their outages, changes, or decisions.

2. Website plan

2.1 What the plan includes

The website plan includes the design, writing, and hosting of your website, local SEO and GEO with a monthly report, management of your Google Business Profile, website updates under Section 2.2, and emergency support under Section 2.3, as described on logram.io. We work to improve how your business appears in search, but no one can guarantee a particular ranking on Google, AI assistants, or other search engines.

2.2 Website updates

  1. (a)
Your plan includes up to 2 hours of website updates each month.
  2. (b)
Unused time does not carry over to the next month.
  3. (c)
Updates that need more time are quoted for your approval before we start.

2.3 Emergency support

  1. (a)
Emergency support is available 24 hours a day, 7 days a week, at no extra charge, for problems that stop your website, contact form, or business email from working.
  2. (b)
Emergency work does not count against your update hours under Section 2.2.
  3. (c)
Report an emergency through the client portal or by calling (479) 370-0008.

2.4 Fees and term

  1. (a)
There is no setup fee. You subscribe after you approve the first version of your website, and your plan starts on the day you subscribe.
  2. (b)
Every plan has a 12-month minimum term. On a monthly plan, you agree to pay for all 12 months, even though they are billed one month at a time.
  3. (c)
After the first 12 months, a monthly plan continues month to month, and you can cancel at any time. Canceling takes effect at the end of the month you have paid for.
  4. (d)
A yearly plan renews for another year at the yearly price unless, before the renewal date, you cancel or switch to monthly billing.
  5. (e)
We do not refund the unused part of a month or year you have already paid for.
  6. (f)
We may change our prices. A new price never applies during your first 12 months or a year you have paid for, and we will email you at least 30 days before it takes effect.

2.5 Your website

  1. (a)
While you are on the plan, we own the website's design and code and license them to you.
  2. (b)
You can buy the website outright at any time for the price published on logram.io. When you do, we hand over the code and assets, nothing is left to pay on your term, and you can host the website anywhere you like.
  3. (c)
Fonts, images, and other materials licensed from third parties stay under their own licenses.
  4. (d)
We may show your website, screenshots of it, and your business name in our portfolio and promotional material, such as logram.io, social media posts, ads, and sales presentations. If you would rather we did not, tell us and we will leave it out of anything new.

2.6 Canceling

  1. (a)
You can cancel by telling us.
  2. (b)
If you cancel during your first 12 months, you can either:
    1. (i)
pay for the rest of the 12 months, and we keep everything running until then; or
    2. (ii)
buy the website outright under Section 2.5(b) instead of paying for the rest of the 12 months, and keep it.
  3. (c)
When the plan ends, your domain, business email, and Google Business Profile stay yours, and we help you move them to whoever you choose. Unless you have bought the website, we take it down.

3. Business email and domains

3.1 Business email

Business email is provided through Microsoft 365 or Google Workspace and billed per user, per month, at the price published on logram.io. Your use of it is also governed by Google's or Microsoft's terms.

3.2 Domains

We register your domain in your name and renew it for you. Registration and renewal are billed at what the registry charges.

3.3 Your accounts

Your domain, email accounts, and Google Business Profile are your accounts. We keep administrator access to manage them for you, and they stay with you if you leave.

4. IT services

4.1 Pay-as-you-go support

  1. (a)
Without a Managed IT plan, IT support, network maintenance, and setup work are billed at our published hourly rate, in 30-minute increments, for the time we spend.
  2. (b)
You do not need a website plan to use them.
  3. (c)
We respond to pay-as-you-go requests as quickly as we can, but we do not guarantee a response or resolution time.
  4. (d)
We support Windows computers and servers running Windows Server or Linux. We do not support Macs or Linux desktops.

4.2 Business hours

Our business hours are 9 AM to 4 PM Central Time, Monday to Friday. Work before 9 AM, after 4 PM, or on weekends is billed at 1.5 times the hourly rate under Section 4.1, except critical issues under a Managed IT plan, which are covered under Section 5.4(c).

4.3 On-site visits

Our service area is Benton, Washington, Crawford, Sebastian, Franklin, and Logan counties in Arkansas, covering the Arkansas River Valley and Northwest Arkansas. On-site visits billed hourly have a two-hour minimum. Managed IT on-site visits are covered under Section 5.4(b). There is no separate travel charge within our service area, and quoted jobs include travel in the quote. Outside our service area, on-site visits are quoted.

4.4 Quoted work

Network installs, cabling, access points, racks, phones, backups, and other projects are quoted before we start. Prices published as "from" are starting prices, and the final price is confirmed in your quote.

4.5 Hardware

  1. (a)
You buy the hardware for your job directly from the vendor, using the models we recommend. We do not resell hardware or add a markup.
  2. (b)
Hardware you buy is yours, and you deal with the vendor for returns.
  3. (c)
Hardware is covered by its manufacturer's warranty, not by us, and we do not repair hardware ourselves.

4.6 Remote access

With your permission, we connect to your computers and network using secure remote support software or a video call. You can end a remote session at any time.

4.7 Backups

Backups we set up reduce the risk of losing data, but no backup can guarantee that every file will be recoverable.

5. Managed IT

5.1 What the plan covers

  1. (a)
Managed IT covers your network, computers, Microsoft 365 or Google Workspace, security, backups, and support for the users and devices in your plan, as described on logram.io.
  2. (b)
A Managed IT service order sets out your user count and start date. Where it differs from these terms, the service order wins.
  3. (c)
Projects, new installs, moves, and migrations are not part of the plan. They are quoted under Section 4.4.

5.2 Users and billing

  1. (a)
A user is a named person with their own Microsoft 365 or Google Workspace account, including part-time and seasonal staff while their account is active and contractors with accounts. A shared computer used by staff without their own account, such as a shop floor PC or a kiosk, also counts as one user. Shared mailboxes, service accounts, and disabled former employees' accounts are not users.
  2. (b)
The plan is billed monthly at our published price per user, on the number of active user accounts and shared computers that month, with a minimum of 5 users.
  3. (c)
Onboarding, which covers the audit, setting up our tools, bringing updates current, and documentation, is included in the plan. Larger fixes found in the audit are quoted separately.
  4. (d)
Your first month is paid when you sign. The plan starts on the 1st of the following month, and onboarding takes place before then. Each month after the first is billed in advance and due on the 1st. Invoices are paid by automatic payment from your bank account or card.

5.3 Term, price changes, and canceling

  1. (a)
The term is 12 months from the date your plan starts. It renews automatically for another 12 months unless either of us gives notice at least 60 days before the term ends.
  2. (b)
We may change the price once a year at renewal, with 60 days' notice, because the prices of the tools we use can change.
  3. (c)
If you cancel after you sign, including during onboarding, you pay 50% of the monthly fees for the months of your term you have not yet paid. Either of us may end the plan if the other seriously breaks these terms and does not fix it within 30 days of written notice. If you end the plan this way, you do not pay that fee.

5.4 Support and response times

  1. (a)
Remote support during business hours is unlimited. Unlimited support does not include projects, after-hours work other than critical issues under (c), or users and devices outside your plan.
  2. (b)
On-site visits are included within our service area when an issue cannot be fixed remotely: during business hours for any issue, and at any hour for critical issues. Travel outside our service area is quoted.
  3. (c)
After hours, we are on call for critical issues only: when your business or a core system cannot work, or for a major security incident. A major security incident means ransomware, an account or system that has been taken over by someone else, or signs that someone has gained access to your systems or data without permission, such as unknown sign-ins, unexpected admin changes, or files that have been encrypted or deleted. A suspicious email that no one opened, clicked, or replied to is not a major security incident. Other after-hours work you ask for is billed at 1.5 times the hourly rate under Section 4.1. Critical issues after hours are included in your plan at no extra charge.
  4. (d)
Our response targets are 30 minutes for critical issues during business hours and 1 hour after hours, 2 business hours when one person cannot work, 1 business day when there is a workaround, and 2 business days for requests. They are targets, not guarantees, and do not carry service credits.
  5. (e)
Support covers the users and devices in your plan. It does not cover personal or family devices, except that on personal phones we protect your Microsoft 365 or Google Workspace apps and the work data in them only. On those phones, we can remove work data but never personal data. For business software you run on those devices, we install and update it, manage who can access it, and contact the software company about problems with the software itself. Fixing the software itself is up to the software company.

5.5 What we need from you

  1. (a)
Managed computers and servers must be under manufacturer warranty and on a supported operating system, network devices must still receive firmware updates from their manufacturer, and computers must run Windows 11 Pro. Servers may run Windows Server or Linux. A device that falls out of warranty, support, or firmware updates has 90 days to be extended or replaced. After that, it is supported at the hourly rate under Section 4.1.
  2. (b)
Your email must be on Microsoft 365 or Google Workspace. You buy the licenses directly from Microsoft or Google and pay for them yourself; the plan price does not include them. Moving from another provider is quoted separately.
  3. (c)
Network equipment does not have to be UniFi. Equipment that no longer receives firmware updates is handled under (a).
  4. (d)
You buy hardware and software licenses directly from the vendor. We tell you what to buy.

5.6 Compliance

Managed IT does not include HIPAA, CMMC, or SOC 2 compliance work, and we do not provide IT services to healthcare providers that handle patient records.

6. AI workflow automation

6.1 Audit and build

Automation projects start with an audit of how the work is done today. Each project is quoted before we build it, and the quote sets out the work, the price, and when payment is due.

6.2 Ongoing costs

Automations run on an automation platform and AI services that you pay for directly, usually monthly and based on usage. We estimate these costs before we start, but the providers set them.

6.3 Fixes and changes

After an automation is delivered, fixes for breakage and changes to your process are billed at our hourly rate under Section 4.1. Larger changes are quoted before we start.

6.4 AI results

  1. (a)
We test each automation against real examples from your business before it runs on its own, but AI can make mistakes.
  2. (b)
You decide which steps a person reviews before anything is sent or changed, and you are responsible for the decisions and messages you approve or choose to let run without review.
  3. (c)
We do not guarantee any particular time or cost savings.

6.5 Ownership

Once a project is paid in full, you own the automations we built for you. The platforms and AI models they use remain the property of their providers.

6.6 Your data

To do their work, automations may send your data, and your customers' data, to the automation platform and AI providers they use. You confirm you have the right to share that data for this purpose. Our Privacy Policy explains how we handle it.

7. Liability, law, and changes

7.1 Ending services

  1. (a)
We can end services if you break these terms or do not pay.
  2. (b)
If we do, amounts you owe are still due, including fees for the rest of a website plan's first 12 months under Section 2.4(b).
  3. (c)
When services end, we remove our access to your accounts and systems and delete your data as described in our Privacy Policy.

7.2 Warranty and liability

The services are provided "as is". To the extent the law allows, Logram is not liable for indirect or consequential losses, lost profits, or lost data, and our total liability is limited to what you paid us in the twelve months before the claim.

7.3 Governing law

These terms are governed by the laws of the State of Arkansas.

7.4 Changes to these terms

If we change these terms, we will post the new version here and change the date above. If the change is significant, we will email our clients before it takes effect.
